The Embernote Vault is operated by Vedant Rawat, an individual proprietor based in Ahmedabad, Gujarat, India

1. Agreement to Terms

By accessing our website and purchasing our digital products ("Assets"), you agree to be bound by these Terms and Conditions. If you disagree with any part of these terms, you may not access the service or purchase our products.

2. Intellectual Property & Licensing

Upon purchase, The Embernote Vault grants you a non-exclusive, non-transferable, revocable license to use the downloaded digital assets for your personal or commercial projects.

You MAY:

  • Use the Assets to build commercial projects for yourself or clients.
  • Modify the Assets to suit your specific project needs.

You MAY NOT:

  • Resell, redistribute, or openly share the original or heavily derivative source files.
  • Include the Assets in an open-source template or UI kit.
  • Transfer your license to another individual or entity.

3. Delivery of Goods

Due to the digital nature of our Products, delivery is automated and instantaneous upon successful payment gateway clearance. Access links are provided via email and the post-purchase confirmation screen.

4. Limitation of Liability

The Embernote Vault and its operators shall not be liable for any indirect, incidental, special, consequential or punitive damages resulting from your use of or inability to use the digital products.

5. Modifications to the Service and Prices

Prices for our products are subject to change without notice. We reserve the right at any time to modify or discontinue the Service (or any part or content thereof) without notice at any time.

6. Governing Law and Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms, your use of the Service, or your purchase of our digital products shall be subject to the exclusive jurisdiction of the courts located in Ahmedabad, Gujarat, India.

By using our Service and purchasing our products, you consent to the jurisdiction and venue of such courts and waive any objection as to inconvenient forum.

7. Payment Processing

All payments on The Embernote Vault are processed through Razorpay, a third-party payment aggregator licensed by the Reserve Bank of India. By making a purchase, you agree to the following payment terms:

7.1 Payment Aggregator

Razorpay acts as a payment aggregator and facilitates the collection and settlement of payments on our behalf. The Embernote Vault is an independent merchant and is not an agent, employee, or representative of Razorpay.

7.2 Settlement Timelines

Payments collected through Razorpay are typically settled to our merchant account within 2-3 business days (T+2 or T+3), subject to Razorpay's settlement policies and any applicable hold periods. Settlement timelines may vary based on transaction volume, risk assessment, and regulatory requirements.

7.3 Chargeback Policy

In the event of a chargeback initiated by your bank or card issuer, The Embernote Vault reserves the right to investigate the claim and provide evidence to Razorpay. If a chargeback is upheld, the transaction amount will be reversed, and your access to the purchased digital assets may be revoked. You will be liable for any chargeback fees imposed by Razorpay or the payment network.

The Embernote Vault is solely responsible for handling chargebacks and disputes related to our products and services. Razorpay's liability is limited to facilitating the payment processing and does not extend to product quality, delivery, or customer satisfaction issues.

7.4 Razorpay Liability Limitations

Razorpay's liability is limited to payment processing services only. Razorpay is not responsible for:

  • The quality, accuracy, or delivery of digital products purchased from The Embernote Vault
  • Any disputes between you and The Embernote Vault regarding product features, licensing, or usage rights
  • Refund decisions, which are solely at the discretion of The Embernote Vault as per our Refund Policy
  • Any indirect, incidental, or consequential damages arising from payment processing

7.5 Payment Security

Razorpay maintains PCI DSS Level 1 compliance and employs industry-standard security measures to protect your payment information. The Embernote Vault does not store your complete card details, CVV, or other sensitive payment information on our servers. All payment data is securely transmitted to and stored by Razorpay.

7.6 Dispute Resolution for Payment Issues

For disputes specifically related to payment processing, transaction failures, or unauthorized charges, you should first contact Razorpay's customer support. For disputes related to product delivery, quality, or refunds, please contact The Embernote Vault directly through our support channels.

If a payment dispute cannot be resolved through direct communication, the matter shall be subject to the arbitration provisions outlined in Section 8 of these Terms.

8. Dispute Resolution

In the event of any dispute, controversy, or claim arising out of or relating to these Terms or your use of our Service, the parties agree to first attempt to resolve the matter through good faith negotiations.

If the dispute cannot be resolved through negotiation within thirty (30) days, either party may refer the matter to arbitration in accordance with the Arbitration and Conciliation Act, 1996, as amended from time to time.

The arbitration shall be conducted by a sole arbitrator mutually agreed upon by both parties. If the parties cannot agree on an arbitrator within fifteen (15) days, the arbitrator shall be appointed in accordance with the provisions of the Arbitration and Conciliation Act, 1996.

The seat and venue of arbitration shall be Ahmedabad, Gujarat, India. The language of arbitration shall be English. The arbitrator's decision shall be final and binding on both parties.

Each party shall bear its own costs related to the arbitration, unless the arbitrator determines otherwise. The arbitrator's fees and administrative costs shall be shared equally by both parties unless the arbitrator determines that one party should bear a greater proportion.
